Chairman of the Board of Directors

Mr. Wei Xu has served as a Director and Chairman of the Board of Directors of Phoenix New Media Limited (NYSE:FENG) since May 2026. Mr. Xu has also served as the Chairman and Executive Director, Chairman of the Risk Management Committee, and Chief Executive Officer of Phoenix Media Investment (Holdings) Limited (“PMI”), our parent company, since 2021. Mr. Xu previously worked at the Shanghai Bureau of the Financial Times (FT), and has served as Director of the News Department of Shanghai East Radio, General Manager and Editor-in-Chief of Shanghai Dragon TV Media Co., Ltd., Spokesman and Director of the Communication and Promotion Department of the Bureau of Shanghai World Expo Coordination, and Director of the Information Office of the Shanghai Municipal Government. He served as Spokesman of the Shanghai Municipal Government from 2011 to 2020. Mr. Xu holds a bachelor’s degree in law from the Department of International Journalism at the Beijing Institute of International Relations, an MBA degree from China Europe International Business School (“CEIBS”), and a doctorate degree in management from Shanghai Jiao Tong University.

Yusheng Sun served as Chief Executive Officer of Phoenix New Media Limited (NYSE:FENG) from March 2023 to May 2026, and as a Director and Chairman of the Board of Directors from August 2021 to May 2026. Mr. Sun also held various positions at Phoenix Media Investment (Holdings) Limited (“PMI”), our parent company, from February 2021 to May 2026, including Executive Director, Deputy Chief Executive Officer, Editor-in-Chief, and member of the Nomination Committee.

Mr. Sun previously served at China Central Television for more than 30 years. He held various senior positions, including Vice President, Deputy Editor-in-Chief, and Director of the News Center, and accumulated extensive experience and an distinguished reputation in the television broadcasting industry. Mr. Sun has received numerous awards and recognitions, including the “Top Ten Outstanding Youth in China” in 1995 and the State Council Special Allowance. In 2017, he was elected as the Vice President of the Asia-Pacific Broadcasting Union (“ABU”), becoming the first Chinese national to hold a senior official position in the ABU. Mr. Sun is a Doctoral Advisor and part-time Professor at Tsinghua University and Renmin University of China. He graduated from Jilin University with a Bachelor's degree in Economics and holds the professional qualification of Senior Editor granted by the Ministry of Radio, Film, and Television, China. His book "Ten Years" has had a profound influence on the academic and media fields, and is a designated extracurricular reading for many journalism college students.

Qi Li has served as Chief Executive Officer of Phoenix New Media Limited (NYSE:FENG) since May 2026, and as a Director since December 2022. Mr. Li also serves as Executive Vice President, Chief Operating Officer, and Chief Financial Officer of Phoenix Media Investment (Holdings) Limited (“PMI”), our parent company. Mr. Li joined the PMI group in July 2021.
Prior to joining PMI, he accumulated many years of experience at People's Daily, where he was responsible for supervising cultural and media enterprises. Mr. Li joined People's Daily Online in December 2014 and served as Chief Financial Officer and Secretary to the Board of Directors. In that role, he oversaw capital markets, financial management, scientific research and technologies, as well as the development of internet information service systems. Mr. Li graduated from Wuhan Military Economic Institute.

Xiaoyan Chi is currently the Senior Vice President and Director of Phoenix New Media Limited (NYSE:FENG), and has concurrently served as the Deputy Director of the Marketing Management Committee of Phoenix TV Group since 2021. Ms. Chi has more than 17 years of experience in media marketing and management. She is the Chairman of the Judgment Committee of the China Public Service Advertisement Grand Prix. She has served as a Final Judgment Committee Member of Cannes Young Lions Competitions (China District), a Final Judgment Committee Member of Effie Awards Greater China, and a Special Columnist for Digital Marketing Magazine. She also served as Vice President of the China Advertising Association, Visiting Professor at Communication University of China, and Industry Mentor for Master’s Students at the Institute of Psychology, Chinese Academy of Sciences. Ms. Chi received a Post-EMBA and a master’s degree from Peking University, and a bachelor’s degree from Beijing Technology and Business University.

Jerry Juying Zhang has served as an Independent Director of Phoenix New Media Limited (NYSE:FENG) since May 2011. Mr. Zhang has been an Advisor to a subsidiary of Public Investment Fund of Saudi Arabia since February 2025 and to China XLX Fertilizer Ltd. since November 2023. He has acted as an Independent Director of Tahoe Life Insurance Company Limited since November 2023 and of CITIC Dicastal Co. Ltd. since May 2024. Previously, he was a Managing Director of China Orient Asset Management (International) in Hong Kong between March 2015 and December 2022. He was a Senior Managing Director of CITIC Capital Holdings Limited between June 2009 and December 2014. Prior to joining CITIC Capital Holdings Limited, Mr. Zhang was a Managing Director in the Investment Banking Division of Deutsche Bank in Hong Kong from August 2006 to June 2009. He served as a Managing Director and the Head of Investment Banking of CITIC Capital Markets Holdings Limited in Hong Kong from March 2003 to July 2006 and, prior to that time, as an Executive Director in the Communications, Media and Entertainment Group of the Investment Banking Department of Goldman Sachs in Hong Kong from April 2001 to January 2003. Mr. Zhang held the positions of Associate, Vice President, and Director at Salomon Smith Barney from August 1994 to March 2001. Prior to joining Salomon Smith Barney, he served as Accounting Manager for Town & Country Homes in Chicago from January 1990 to December 1993 and as Accountant, Audit Senior, and Supervisor at Ernst & Young in Chicago and Hong Kong. Mr. Zhang held CPA qualifications in China and the State of Kentucky, both of which he has surrendered voluntarily. He holds a Doctor of Business Administration degree from City University of Hong Kong, an MBA from the University of Chicago, an MA in Accounting from the Ministry of Finance Graduate School in the PRC, and a BA degree from Inner Mongolia University.

Geng Xiao is Professor and Associate Dean of the School of Public Policy of the Chinese University of Hong Kong, Shenzhen. He received a B.S. in System Sciences and Management Sciences from the University of Science and Technology of China and MA and PhD in Economics from University of California at Los Angeles. Mr. Xiao was Professor and Director of the Institute of Policy and Practice at the Shenzhen Finance Institute of CUHK-Shenzhen, Professor at Peking University HSBC Business School, Professor at the University of Hong Kong, Vice President of Fung Global Institute, Director of the Columbia University Global Center Beijing, Director of Brookings-Tsinghua Center for Public Policy, Senior Fellow of Brookings Institution, Head of Research and Advisor to the Chairman of the Securities and Futures Commission of Hong Kong. Mr. Xiao has also been independent director or supervisor for Midea Group, Qingdao Beer, Biokin Pharma, HSBC China, UBS China, Genesis Emerging Market Fund, Shenzhen Development Bank (now Pingan Bank), and Bank of Jinzhou.
